Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Production Slate LLC, a New York limited liability company ("Production Slate," "we," "us," or "our"), located at 418 Broadway STE N, Albany, NY 12207, United States.

1. Acceptance of Terms

By accessing or using Production Slate ("the Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement. We do not knowingly collect data from or provide services to individuals under 16.

3. Description of Service

Production Slate is a web-based production management tool for film and video professionals. We provide tools for managing budgets, schedules, crew, locations, shot lists, call sheets, equipment, talent, production pipeline tasks, script import and breakdown, script supervision, and hours/payables tracking.

4. Accounts

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information during registration and keep it up to date. We reserve the right to suspend or terminate accounts that violate these Terms. We may initiate password resets, send administrative notifications, or delete accounts that violate these Terms or upon verified user request. Account deletion is permanent and removes all associated data from our live systems; residual copies may persist in encrypted backups for up to 30 days as described in our Privacy Policy.

5. Subscriptions, Billing & Auto-Renewal

Free tier: The free plan provides limited access to features as described on our pricing page. No payment is required.

Paid subscriptions: Paid plans (Pro and Team) are available on a monthly or annual billing cycle. Prices are listed on our pricing page and may change with 30 days' notice.

Seat-based plans: On Team plans, the organization administrator's payment method is billed for all seats in the organization. Adding or removing a seat mid-cycle results in a prorated charge or credit against the current billing period. The administrator is responsible for all seat charges incurred by their organization.

Auto-renewal: Paid subscriptions automatically renew at the end of each billing period (monthly or annually) at the then-current rate unless you cancel before the renewal date. You authorize us to charge your payment method on file for each renewal period.

Cancellation: You may cancel at any time through the billing portal. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period you have already paid for.

Refunds: No refunds are provided for partial billing periods. If you are a consumer in the European Union or the United Kingdom, you have the right to withdraw from your subscription within 14 days of purchase without giving any reason, provided you have not used the Service during that period. To exercise this right, contact us at hello@prodslate.com. If you are an Australian consumer, your rights under the Australian Consumer Law are not affected by these Terms.

Payment processing: All payments are processed securely by Stripe. We do not store your credit card information.

6. User Content

You retain full ownership of all content you create within the Service, including production data, budgets, schedules, crew information, and all other materials ("User Content"). We do not claim any intellectual property rights over your User Content.

By using the Service, you grant us a limited, non-exclusive license to store, process, and display your User Content solely for the purpose of providing and improving the Service. This license terminates when you delete your content or your account.

7. Our Intellectual Property

The Service, including its design, code, features, logos, and documentation, is owned by Production Slate LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any part of the Service or its systems
  • Interfere with or disrupt the proper functioning of the Service
  • Upload malicious code, viruses, or harmful data
  • Use the Service to store or transmit content that infringes the rights of others
  • Resell, sublicense, or redistribute the Service without written permission

9. Communications & Directory Connections

We may send in-app notifications and email alerts regarding task assignments, project invitations, equipment updates, connection requests, and administrative matters. You can manage your email notification preferences in Settings. Certain administrative and security communications (such as password resets, billing confirmations, and Terms/Privacy updates) may be sent regardless of your preference settings.

Directory connections: Other organizations may add your email address to their crew directory. If your email matches a Production Slate account, you will receive a connection request. Accepting a connection shares your display name and profile photo with that organization's directory. Declining a connection prevents any profile data from being shared. You may respond to each organization's request independently via the Notifications page.

10. Administrative Access

Authorized employees of Production Slate LLC ("super administrators") may access, view, and review any account information, user content, project data, and usage activity within the Service. This access is used for the purposes of providing customer support, troubleshooting issues, enforcing these Terms, ensuring platform integrity, investigating potential violations, and improving the Service. We will not use this access to share your data with third parties except as required by law or as described in our Privacy Policy.

11. Limitation of Liability

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by applicable law, Production Slate LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.

Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by applicable law, including consumer protection laws in the EU, UK, and Australia.

12. Indemnification

You agree to indemnify and hold harmless Production Slate LLC, its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms.

13. Governing Law & Dispute Resolution

Governing law: These Terms are governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles.

Dispute resolution: Any dispute arising from these Terms or the Service shall first be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to the courts of the State of New York, County of Albany, and you consent to the personal jurisdiction of such courts.

EU/UK/AU consumers: If you are a consumer in the European Union, United Kingdom, or Australia, nothing in this section limits your right to bring proceedings in the courts of your country of residence, or any other mandatory consumer protection rights under your local law. EU consumers may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

14. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, power failures, internet outages, or government actions.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may cancel your account before the changes take effect.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Production Slate LLC regarding your use of the Service and supersede any prior agreements.
